Baladna capital increase approved to fund Qatar expansion and Syria dairy plans

Baladna’s extraordinary general meeting approved a 25% capital increase through a rights issue to support domestic growth and potential dairy investments in Syria, the company said. The Baladna capital increase will lift share capital from QAR 2.144 billion to QAR 2.68 billion, with 535.996 million new ordinary shares offered at QAR 1.01 each, according to the company prospectus.

Subscription timeline and rights trading

Shareholders recorded in Baladna’s register at the end of trading on July 27, 2026, will receive subscription rights, the prospectus states. Rights begin trading on the Qatar Stock Exchange on July 28 and will continue through August 3, 2026, allowing holders to trade entitlements before the subscription window opens.

The subscription period for the new shares starts August 4 and closes at 1:00 p.m. Doha time on August 17, 2026, with expected issuance of the new shares on August 26, 2026. Shareholders may exercise their rights to subscribe, sell them on the exchange, or allow other investors to buy those rights and subscribe on their behalf.

Details of the rights issue and proceeds

The rights issue will price each new share at QAR 1.01, combining a QAR 1.00 nominal value and QAR 0.01 issuance premium and fees. Gross proceeds from the offering are approximately QAR 541.36 million, while the prospectus estimates net proceeds of about QAR 536.36 million after expected issuance costs of QAR 5 million.

Unsubscribed shares may later be sold by Baladna on the Qatar Stock Exchange in accordance with Qatar Financial Markets Authority rules, the company disclosure explains. Therefore, the company expects to retain flexibility to monetize any unsought allotments and secure the planned funding levels.

Financing and expansion plans

Baladna said the capital raise will support medium- and long-term growth, focusing on expanding operations in Qatar and exploring agricultural and dairy investments in Syria. The company has set up a local subsidiary in Syria and initiated preliminary commercial activities ahead of larger capital commitments, according to the prospectus.

In April 2026, Baladna entered an advisory agreement with the International Finance Corporation to assess the feasibility of rebuilding and expanding Syria’s dairy value chain. The IFC engagement is to evaluate local milk production, collection and transport logistics, processing capacity and demand trends, the advisory note indicates.

Strategic rationale and regional context

The rights issue aligns with Baladna’s strategy to diversify supply chains and extend vertical integration into production, processing, and logistics. Furthermore, targeted investments in farms, manufacturing, packaging and cold-chain infrastructure in Syria could create export opportunities to nearby markets, company materials suggest.

Investors and analysts will watch execution risk, particularly in a complex operating environment outside Qatar. Meanwhile, the company’s steps to conduct feasibility work with international advisers aim to reduce uncertainty before committing large-scale capital, a corporate update notes.

Financial performance and investor implications

Baladna reported Q1 2026 revenue of QAR 329.9 million and a year-on-year net profit rise of about 6% to QAR 61.5 million, based on official financial statements. Therefore, the rights issue appears timed to leverage improving operational results while accessing equity finance to avoid increasing leverage.

For existing shareholders, the rights offering provides a pro rata way to maintain ownership or realize value through selling tradable rights on the Qatar Stock Exchange. Institutional and retail holders will need to weigh dilution effects, subscription costs, and the company’s capital allocation roadmap when making decisions.

Market and regulatory considerations

The transaction follows regulatory procedures under Qatar’s capital markets framework, with trading and subscription dates set to comply with Qatar Financial Markets Authority rules. Furthermore, Baladna’s disclosure of issuance costs and expected net proceeds is consistent with market best practice for transparency around rights issues.

Market participants should monitor trading volumes of the rights during the entitlement trading window and any announcements related to allocation and sale of unsubscribed shares. Those signals will inform short-term price dynamics and liquidity implications on the Qatar Stock Exchange.

What to watch next

Investors should watch for the start of rights trading on July 28 and the opening of the subscription period on August 4 as immediate milestones. Additionally, observers will track the outcome of the IFC advisory assessment and any follow-up announcements regarding concrete investment plans or timelines for Syrian dairy projects.

Upcoming disclosures that matter include final allocation details, any sale of unsubscribed shares, and the formal issuance of new shares around the expected date of August 26, 2026. These events will determine the transaction’s impact on Baladna’s capital structure and funding availability.

Conclusion and outlook

Baladna’s capital increase via a rights issue is intended to finance domestic expansion and exploratory investments into Syria’s dairy sector while preserving shareholder choice through tradable rights. The initiative balances growth ambitions with staged due diligence and advisory support, according to company materials.

Going forward, stakeholders should monitor subscription uptake, outcomes of the IFC feasibility work, and regulatory updates. These factors will clarify how the Baladna capital increase translates into operational expansion and whether it supports sustainable growth across the company’s target markets.
