New Commercial Transactions Law Introduced in Saudi Arabia

The Saudi Arabian government has recently made a significant move toward enhancing its commercial environment by approving the new Commercial Transactions Law. This law, endorsed by Minister of Commerce Dr. Majid bin Abdullah Al-Qasabi, aims to regulate commercial contracts including aspects of trade, such as sales, supply agreements, brokerage, and commercial agency. Importantly, it allows individuals aged 15 and above to engage in trade under specified conditions.

This new legislation includes 271 articles intended to clarify the nature of commercial activities, the definition of a trader, merchant obligations, record-keeping requirements, and provisions regarding negotiable instruments like promissory notes and cheques. It will replace three existing laws: the Commercial Law, the Negotiable Instruments Law, and the Commercial Records Law.

Key Features of the Commercial Transactions Law

The Commercial Transactions Law defines a trader and demarcates what constitutes commercial activities. A significant aspect of this law is its approach to the rights and responsibilities of traders, creating a balanced environment that promotes fair competition.

For the first time, the law consolidates regulations surrounding sales, supply agreements, brokerage, and agency into a single legislative document. Notably, it addresses the protection of rights and remedies available to aggrieved parties, allowing them to seek judicial relief in case of disputes.

Additionally, the law accommodates younger entrepreneurs, enabling those who are 15 years old to conduct business with permission from their guardians, legal representatives, or a court. This inclusion aims to foster entrepreneurial spirit among the youth, providing them with avenues to engage in commerce responsibly.

Impact on Small and Medium Enterprises

As the Commercial Transactions Law is set to take effect 180 days after its publication in the official gazette, its introduction is projected to significantly impact small and medium enterprises (SMEs). The new law is designed to support the growth and expansion of these businesses by enhancing their ability to enter into contracts and agency agreements.

This progressive framework not only strengthens competition but also ensures that traders adhere to ethical business standards. It prevents anti-competitive behavior that could harm rival merchants and delineates the process for seeking judicial intervention to halt such practices.

Moreover, certain categories of traders are exempt from maintaining extensive accounting records, which is expected to reduce the administrative burden on smaller businesses. The law encourages the use of both electronic and paper documentation in Arabic, while also allowing records to be maintained in other languages. This flexibility is anticipated to further streamline operations for diverse trading companies.

Future Outlook of Commercial Transactions in Saudi Arabia

The implementation of the Commercial Transactions Law signals a critical step toward modernizing and enhancing Saudi Arabia’s trade landscape. By integrating various aspects of commercial dealings into a unified law, the government is making strides toward reducing disputes and promoting predictability in business transactions.

As the law phases in, stakeholders in the commerce sector are expected to adjust their practices to comply with the new regulations. Business entities and traders will need to keep a close eye on developments related to this law and prepare for its impending operational guidelines.

The outlook for commercial transactions in Saudi Arabia appears promising, with increased opportunities for young traders and a more defined framework for existing businesses. Moreover, the ongoing efforts to improve the regulatory environment will likely contribute to attracting domestic and international investments, further energizing the Saudi economy.
