Investment funds play a crucial role in the financial market, offering a variety of options for investors. These funds can be public, available to the general public, or private, exclusive to professional investors. The funds pool capital from multiple investors and invest it according to a defined policy, with an appointed investment manager making decisions on behalf of the fund. In the UAE, the corporate tax law aims to ensure tax neutrality for investors in investment funds, treating them similarly to those making direct investments in underlying assets. This aligns with global standards, avoiding tax burdens on income generated by collective investment vehicles.

For investment funds classified as resident juridical persons in the UAE, corporate tax applies unless they qualify for an exemption as a qualifying investment fund. To be exempt, the fund must meet specific conditions such as regulatory oversight by recognized authorities and not primarily aiming to avoid tax. The interests of the fund should be traded on a recognized stock exchange or made widely available to investors for exemption eligibility. Once approved, a qualifying investment fund is exempt from corporate tax, although individual investors may still be taxed on distributable income depending on the nature of their investments.

Unincorporated partnerships, not classified as juridical persons, are exempt from corporate tax in the UAE. Income earned by partners in these partnerships is considered for tax purposes, with partners able to apply for tax treatment as a separate taxable person if desired. Funds established outside the UAE are not considered resident persons unless managed within the country but may be subject to corporate tax if they have a permanent establishment or other connections to the UAE. Certain reliefs under tax laws are available to resident juridical persons but may not apply to qualifying investment funds, excluding them from group relief, business restructuring relief, and other provisions.
